1. Acceptance of These Terms

Welcome to Real American Market (“Real American Market,” “we,” “our,” or “us”).

These Terms & Conditions (“Terms”) govern your access to and use of the Real American Market website, marketplace, mobile applications (if any), products, services, features, and related content (collectively, the “Marketplace”).

By accessing or using the Marketplace, creating an account, purchasing products, applying to become a vendor, subscribing to any service, or otherwise using our services, you agree to be legally bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must immediately discontinue use of the Marketplace.

We reserve the right to update or modify these Terms at any time. Continued use of the Marketplace after updated Terms are posted constitutes acceptance of those changes.

2. Eligibility

You represent and warrant that:

You are at least 18 years of age or the age of majority in your jurisdiction.
You have the legal capacity to enter into binding contracts.
Any information you provide is true, accurate, and current.
Your use of the Marketplace complies with all applicable laws and regulations.

Real American Market reserves the right to refuse service or terminate access if these requirements are not met.

3. About Real American Market

Real American Market is a curated online marketplace that connects customers with independent vendors who sell products through our platform.

Unless expressly stated otherwise:

Products are sold directly by independent vendors.
Vendors determine their own pricing.
Vendors establish their own processing and shipping times.
Vendors are responsible for product descriptions and inventory.
Vendors are responsible for complying with all applicable laws.

Real American Market provides the marketplace platform and related services but is generally not the manufacturer or seller of products offered by independent vendors.

Real American Market does not guarantee sales, revenue, profits, customer traffic, search rankings, inquiries, business growth, or any particular level of success for any vendor. Vendors acknowledge that sales and business performance depend on numerous factors beyond the control of Real American Market.

4. Customer Accounts

Certain features require an account. You agree to:

Provide complete and accurate information.
Keep your account information up to date.
Maintain the confidentiality of your login credentials.
Notify us immediately of any unauthorized use of your account.
Accept responsibility for all activity conducted through your account.

We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.

5. Vendor Applications and Approval

Real American Market is a curated marketplace dedicated to

maintaining high standards for quality, authenticity, customer experience, and marketplace integrity.

Submitting a vendor application does not guarantee acceptance.

Real American Market reserves the sole and absolute right, in its discretion and to the fullest extent permitted by law, to approve, deny, suspend, restrict, remove, or terminate any vendor application, vendor account, storefront, or product listing at any time, with or without notice, for any lawful reason.

Reasons may include, but are not limited to:

Failure to meet our marketplace standards.
Incomplete or inaccurate application information.
Poor product quality.
Products inconsistent with our marketplace values or standards.
Safety concerns.
Intellectual property concerns.
Counterfeit products.
Misleading advertising.
Violation of these Terms or other marketplace policies.
Fraudulent or deceptive conduct.
Repeated customer complaints.
Failure to maintain satisfactory customer service.
Excessive order cancellations.
Failure to fulfill orders.
Business inactivity.
Any action that may negatively impact the reputation, operations, customers, vendors, or integrity of Real American Market.
Any other lawful business reason determined by Real American Market.

Except where required by law, Real American Market has no obligation to explain or disclose the reasons for approving or denying any application or removing any vendor or listing.

Vendor approval does not create an employment relationship, partnership, joint venture, agency relationship, or franchise between the vendor and Real American Market.

6. Vendor Subscriptions

Some marketplace features require a paid subscription. By subscribing, you agree that:

Subscription fees are charged according to the selected plan.
Subscription fees may automatically renew unless canceled before the renewal date.
You authorize recurring charges using your selected payment method.
Subscription pricing may change upon advance notice as required by applicable law.

Failure to maintain an active paid subscription may result in the loss of vendor access and Marketplace privileges as described below.

If a vendor fails to pay applicable subscription fees, experiences repeated payment failures, or allows a required subscription to lapse, Real American Market reserves the right, with or without notice and to the fullest extent permitted by applicable law, to suspend or terminate the vendor’s account, remove or deactivate product listings, disable storefront access, revoke Marketplace privileges, and cancel any associated subscription until the account is brought into good standing or permanently terminated in accordance with these Terms.

7. Payments

Payments are securely processed by third-party payment processors.

Real American Market does not store complete payment card numbers or CVV/security codes.

However, we may retain limited billing information, including:

Subscription status
Transaction history
Billing history
Invoices
Payment confirmations
Renewal dates
Partial payment information provided by our payment processor
Tax records
Records necessary for accounting, customer service, fraud prevention, and legal compliance

By completing a purchase or subscribing to a paid plan, you authorize all applicable charges, including recurring subscription charges where applicable.

8. Taxes

Customers are responsible for applicable sales taxes as required by law.

Vendors remain responsible for complying with all tax obligations applicable to their business unless otherwise provided through marketplace services.

9. Orders

Orders placed through the Marketplace constitute offers to purchase products.

Orders are subject to acceptance.

Real American Market reserves the right to refuse or cancel any order for lawful reasons, including pricing errors, suspected fraud, inventory shortages, payment issues, or violations of these Terms.

If payment has already been collected for a canceled order, an appropriate refund will be issued when applicable.

10. Pricing

Prices displayed on the Marketplace are subject to change without notice.

Despite our efforts, occasional pricing or typographical errors may occur.

Real American Market and its vendors reserve the right to correct errors, update pricing, and cancel affected orders when necessary.

11. Product Listings

Each vendor is solely responsible for the accuracy, completeness, and legality of all product listings.

Vendors agree that all listings shall:

Accurately describe the product.
Include truthful photographs.
Accurately represent dimensions, materials, colors, and specifications.
Comply with all applicable laws.
Not contain misleading or deceptive information.

Real American Market reserves the right to edit, remove, suspend, or reject any listing that violates these Terms or our marketplace standards.

12. Handmade Products

Many products offered through the Marketplace are handmade or handcrafted.

Customers acknowledge that handmade products naturally vary in:

Color
Texture
Grain
Finish
Shape
Size
Pattern

These natural variations are expected and shall not be considered defects.

13. Product Safety

Vendors are solely responsible for ensuring that all products:

Are safe for their intended use.
Comply with all federal, state, and local laws.
Meet applicable labeling requirements.
Include required warnings.
Meet any industry-specific safety standards.

Real American Market may remove products that present actual or potential safety concerns.

14. Made in USA Claims

Real American Market is dedicated to supporting American businesses.

However, vendors are solely responsible for the accuracy of any “Made in USA,” “American Made,” or similar claims.

Vendors represent that any such claims comply with applicable Federal Trade Commission (FTC) guidance and all applicable laws.

Real American Market reserves the right to remove listings that contain inaccurate or misleading origin claims.

15. Vendor Responsibilities

Each vendor agrees to:

Maintain accurate inventory.
Ship orders promptly.
Respond to customer inquiries in a timely manner.
Maintain high standards of customer service.
Comply with all applicable laws.
Honor stated policies.
Maintain required business licenses where applicable.
Carry any insurance required by law.
Immediately notify Real American Market of significant business changes.

16. Customer Responsibilities

Customers agree to:

Provide accurate shipping information.
Review product descriptions before purchasing.
Contact vendors regarding order-specific questions.
Treat vendors respectfully.
Refrain from abusive, threatening, or fraudulent conduct.

17. Shipping

Shipping estimates are estimates only. Actual delivery times may vary due to:

Weather
Carrier delays
Customs
Natural disasters
Supply shortages
Labor disputes
Other events beyond reasonable control

Unless otherwise stated, vendors are responsible for packaging and shipping purchased products.

18. Returns & Refunds

Each vendor maintains their own return and refund policy unless otherwise stated.

Customers should carefully review the applicable return policy before placing an order.

Certain items may not be eligible for return, including but not limited to:

Personalized products
Custom-made products
Food
Perishable goods
Plants
Gift cards
Digital products
Hygiene products
Other products identified as non-returnable by the vendor or applicable law

19. Marketplace Standards

Real American Market is committed to maintaining a high-quality marketplace.

We reserve the right to remove products or vendors that fail to meet our quality, customer service, authenticity, or marketplace standards.

Marketplace standards may change over time to improve the customer experience.

20. Prohibited Products

The following categories of products are prohibited unless expressly approved by Real American Market or permitted by applicable law:

Illegal products
Counterfeit goods
Stolen property
Hazardous materials prohibited by law
Recalled products
Products that infringe intellectual property rights
Fraudulent products
Misleading products
Products that violate applicable regulations

We reserve the right to remove any product that we determine, in our sole discretion, is inappropriate for the Marketplace or inconsistent with our marketplace standards.

21. Intellectual Property

All content owned by Real American Market, including our name, logo, branding, website design, graphics, text, software, icons, and other original materials, is protected by applicable intellectual property laws.

You may not reproduce, copy, distribute, modify, sell, or otherwise use our intellectual property without our prior written permission.

Vendors retain ownership of their own trademarks, logos, photographs, product descriptions, and other original content they submit, but grant Real American Market a limited, non-exclusive, worldwide, royalty-free license to display, reproduce, and use such content for operating, promoting, and improving the Marketplace.

22. User Reviews and Content

Customers may submit reviews, ratings, photographs, comments, and other content.

By submitting content, you represent that:

You own or have permission to use the content.
The content is truthful and accurate.
The content does not violate the rights of any third party.
The content does not contain unlawful, defamatory, obscene, threatening, or misleading material.

Real American Market reserves the right, but not the obligation, to remove, edit, or refuse any user-generated content that violates these Terms or our marketplace standards.

23. Prohibited Conduct

You agree not to:

Violate any applicable law.
Commit fraud or deception.
Upload viruses or malicious software.
Attempt unauthorized access to our systems.
Interfere with the operation of the Marketplace.
Harvest or collect user information without authorization.
Infringe intellectual property rights.
Impersonate another person or business.
Submit false or misleading information.
Engage in abusive, threatening, or harassing behavior.
Circumvent Marketplace fees or policies.

Violation of these Terms may result in suspension or permanent termination of your account.

24. Account Suspension and Termination

Real American Market reserves the right to suspend, restrict, or terminate any customer or vendor account, with or without notice, for any lawful reason, including violations of these Terms, fraudulent activity, repeated customer complaints, misuse of the Marketplace, or conduct that may negatively affect the Marketplace or its users.

Termination of an account does not relieve any party of obligations that arose prior to termination.

25. Third-Party Services

The Marketplace may use or link to third-party services, including payment processors, shipping providers, analytics services, email providers, and other technology providers.

Real American Market is not responsible for the availability, security, privacy practices, or content of third-party services.

Your use of those services may also be subject to the terms and policies of the applicable provider.

26. Disclaimer of Warranties

To the fullest extent permitted by law, the Marketplace and all related services are provided on an “AS IS” and “AS AVAILABLE” basis.

Real American Market disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee uninterrupted access, error-free operation, or that the Marketplace will always be secure or free from harmful components.

27. Limitation of Liability

To the fullest extent permitted by applicable law, Real American Market, its owners, employees, officers, affiliates, contractors, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to the use of the Marketplace.

Our total liability for any claim arising out of or relating to the Marketplace shall not exceed the amount paid by you directly to Real American Market during the twelve

(12) months immediately preceding the event giving rise to the claim, or one hundred U.S. dollars (US $100), whichever is greater, unless otherwise required by law.

28. Indemnification

You agree to defend, indemnify, and hold harmless Real American Market, its owners, officers, employees, contractors, affiliates, successors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

Your use of the Marketplace.
Your violation of these Terms.
Your violation of applicable law.
Your infringement of any third-party rights.
Products you sell or purchase through the Marketplace, where permitted by law.

29. Force Majeure

Real American Market shall not be liable for any delay or failure to perform its obligations due to events beyond its reasonable control, including natural disasters, acts of God, fire, flood, severe weather, war, terrorism, civil unrest, labor disputes, power outages, internet failures, government actions, pandemics, supply chain disruptions, or failures of third-party service providers.

30. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles.

Unless otherwise required by applicable law, any legal action arising out of or relating to these Terms or the Marketplace shall be brought exclusively in the appropriate state or federal courts located in the State of Florida, and you consent to the jurisdiction of those courts.

31. Changes to These Terms

Real American Market may revise these Terms at any time.

Updated Terms become effective when posted on the Marketplace unless otherwise stated.

Your continued use of the Marketplace after changes are posted constitutes acceptance of the revised Terms.

32. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

33. Entire Agreement

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and Real American Market regarding your use of the Marketplace and supersede all prior agreements or understandings relating to the subject matter.

35. Subscription Cancellations

Vendors may cancel their subscription at any time through their account settings or by contacting Real American Market.

Unless otherwise required by law or expressly stated in writing:

Subscription fees are non-refundable.
Cancellation will take effect at the end of the current billing period.
No partial or prorated refunds will be issued for unused portions of a subscription.
Cancellation does not relieve a vendor of any outstanding payment obligations incurred before cancellation.

If a subscription is canceled due to a violation of these Terms, Real American Market may terminate access immediately.

36. Subscription Pricing

Real American Market reserves the right to modify subscription plans, features, pricing, and benefits at any time.

Any changes to recurring subscription pricing will apply prospectively and, where required by applicable law, reasonable notice will be provided before the new pricing becomes effective.

Continued use of a subscription after the effective date of a pricing change constitutes acceptance of the revised pricing.

37. Chargebacks and Payment Disputes

Customers and vendors agree to contact the appropriate party to attempt to resolve billing disputes before initiating a chargeback whenever reasonably possible.

If a chargeback or payment dispute is initiated in bad faith or in violation of these Terms, Real American Market reserves the right to suspend or terminate the applicable account, recover any fees or costs permitted by law, and take other appropriate action.

Nothing in this section limits any rights you may have under applicable consumer protection laws.

38. Electronic Communications

By creating an account or using the Marketplace, you consent to receive electronic communications from Real American Market, including emails, account notifications, invoices, policy updates, and other notices relating to your account or use of the Marketplace.

You agree that electronic communications satisfy any legal requirement that such communications be in writing, to the extent permitted by law.

39. Independent Vendor Relationship

Each vendor operates as an independent business.

Nothing in these Terms creates an employment relationship, agency, partnership, franchise, joint venture, or similar relationship between Real American Market and any vendor.

Vendors are solely responsible for the operation of their businesses, including compliance with applicable laws, taxes, licensing requirements, employment obligations, and product-related responsibilities.

40. Reservation of Rights

Real American Market reserves all rights not expressly granted under these Terms.

We may, at our sole discretion and to the extent permitted by law:

Modify or discontinue Marketplace features.
Update Marketplace policies.
Investigate suspected violations.
Remove content or listings.
Suspend or terminate accounts.
Refuse service to any person or business for any lawful reason.
Take any other lawful action necessary to protect the Marketplace, its customers, vendors, reputation, or operations.

41. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Real American Market.

Real American Market may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, sale of assets, corporate reorganization, or other lawful business transaction.

42. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Any waiver must be in writing and signed by an authorized representative of Real American Market.

43. Survival

The following provisions shall survive the termination or expiration of these Terms to the extent necessary to fulfill their purpose:

46. Copyright Infringement Policy

Real American Market respects the intellectual property rights of others and expects all users and vendors to do the same.

If you believe that content on the Marketplace infringes your copyright or other intellectual property rights, you may submit a written notice that includes:

Your name and contact information.
A description of the copyrighted work or other intellectual property.
The location of the allegedly infringing material.
A statement that you have a good-faith belief the use is unauthorized.
A statement, under penalty of perjury where applicable, that the information provided is accurate and that you are authorized to act on behalf of the rights holder.

Real American Market reserves the right to remove or disable access to allegedly infringing content while investigating a claim.

47. Intellectual Property Complaints

If Real American Market receives a credible claim that a product, listing, image, logo, trademark, design, or other content infringes the rights of another party, we may:

Remove or disable the listing.
Suspend sales of the affected product.
Request additional documentation from the vendor.
Suspend or terminate the vendor account.
Take any other action we reasonably determine is necessary to protect the Marketplace or comply with applicable law.

48. Product Recalls and Safety Notifications

Vendors are responsible for monitoring the safety of the products they sell.

If a vendor becomes aware that a product is defective, unsafe, subject to a government recall, or otherwise poses a risk to consumers, the vendor must promptly notify Real American Market and take appropriate corrective action, which may include stopping sales, notifying affected customers, or issuing refunds where required by law.

Real American Market may remove or disable listings that present actual or potential safety concerns.

49. Insurance

Certain vendors or product categories may be required to maintain commercial general liability insurance or other insurance coverage, as determined by Real American Market.

Upon request, vendors must provide reasonable proof of any required insurance coverage before selling or continuing to sell on the Marketplace.

50. Compliance with Laws

Vendors are solely responsible for complying with all applicable federal, state, and local laws, regulations, and licensing requirements relating to their business and the products they sell.

This includes, where applicable:

Product labeling requirements.
Consumer protection laws.
Product safety regulations.
Advertising laws.
Tax obligations.
Environmental regulations.
Import and export restrictions.
Industry-specific requirements.

51. Marketplace Investigations

Real American Market may investigate suspected violations of these Terms or other Marketplace policies.

During an investigation, we may:

Request additional information.
Temporarily suspend listings or accounts.
Delay payouts where permitted by law and applicable agreements.
Remove products.
Cooperate with law enforcement or government authorities when legally required.

Failure to cooperate with a reasonable investigation may result in suspension or termination of Marketplace access.

52. Fraud Prevention

To protect the Marketplace, customers, and vendors, Real American Market reserves the right to investigate suspected fraudulent, deceptive, or abusive activity.

We may suspend transactions, limit account functionality, request identity verification, or terminate accounts where we reasonably believe fraudulent activity has occurred, subject to applicable law.

53. Record Retention

Real American Market may retain records relating to Marketplace activity, transactions, subscriptions, communications, and account history for as long as reasonably necessary to:

Operate the Marketplace.
Provide customer support.
Resolve disputes.
Prevent fraud.
Comply with legal, regulatory, accounting, or tax obligations.

Retention periods may vary depending on the nature of the information and applicable legal requirements.

54. Business Transfers

If Real American Market undergoes a merger, acquisition, financing, corporate reorganization, sale of assets, or other business transaction, your account and related information may be transferred as part of that transaction, subject to applicable law and our Privacy Policy.

55. Headings

The headings used in these Terms are provided for convenience only and do not affect the interpretation of any provision.

56. Final Provisions

These Terms are intended to be interpreted to the fullest extent permitted by applicable law.

Nothing in these Terms limits rights that cannot legally be waived under applicable consumer protection or other laws.

If any conflict exists between these Terms and applicable law, the applicable law will control only to the extent of the conflict, and the remaining provisions will remain in full force and effect.
